Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SERPNAUT website, playbook, newsletter, audits, and paid engagements (collectively, the "Services") provided by Lucalvry LLC ("SERPNAUT", "we", "us", or "our"). By accessing or using the Services, you agree to these Terms.

1. Acceptance

By using the Services you represent that you are at least 18 years old and have the authority to enter these Terms on behalf of yourself or the entity you represent. If you do not agree, do not use the Services.

2. Definitions

"You" means the individual or entity using the Services. "Content" means text, graphics, reports, audits, code, and other materials made available through the Services.

3. Services

The Services include a public website with an SEO playbook, newsletter, free audit intake, and paid SEO engagements. We may change, suspend, or discontinue any part of the Services at any time.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.

5. Payments, refunds, and taxes

Paid engagements are billed through Stripe. All fees are stated in USD unless otherwise specified and are exclusive of applicable taxes, which are your responsibility. Unless required by law or expressly stated in a written proposal, fees are non-refundable once work has commenced. Refund requests may be sent to hi@serpnaut.xyz.

6. Acceptable use

You agree not to: (a) violate any law or third-party right; (b) attempt to gain unauthorized access to the Services or related systems; (c) interfere with or disrupt the Services; (d) reverse engineer, scrape, or resell the Services without our written consent; (e) submit misleading, infringing, or unlawful content.

7. Intellectual property

The Services, playbook, and all Content are owned by Lucalvry LLC or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. You may not reproduce, distribute, or create derivative works without our written permission.

8. Deliverables and client materials

Upon full payment, you receive a non-exclusive, perpetual license to use audit reports and other deliverables for your internal business purposes. We retain ownership of underlying methodologies, templates, and know-how. You represent that any materials you provide to us do not infringe any third-party rights and grant us a limited license to use them solely to deliver the Services.

9. Third-party services

The Services may integrate with or link to third-party services (e.g., Stripe, Supabase, analytics providers). We are not responsible for third-party services and your use of them is governed by their own terms.

10. Disclaimer of warranties

The Services and Content are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation. We do not warrant any specific SEO outcomes, rankings, traffic, or revenue.

11. Limitation of liability

To the maximum extent permitted by law, in no event will SERPNAUT or Lucalvry LLC be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to these Terms or the Services. Our total aggregate liability arising out of or related to these Terms will not exceed the greater of (a) the amount you paid to us for the Services in the twelve (12) months preceding the event giving rise to the claim, or (b) USD 100.

12. Indemnification

You agree to indemnify, defend, and hold harmless Lucalvry LLC and its officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services or your breach of these Terms.

13. Termination

We may suspend or terminate your access to the Services at any time for any reason, including breach of these Terms. Sections that by their nature should survive termination will survive.

14. Governing law and dispute resolution

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws principles. Any dispute arising out of or related to these Terms will be resolved by binding arbitration seated in Sheridan, Wyoming, under the Commercial Arbitration Rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction. You and SERPNAUT agree that any dispute will be resolved on an individual basis and not as part of a class or representative action.

15. Changes

We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
